mating extruded faces

I'm having a problem mating parts with extruded faces.

I do not understand very well how your assembly must work.
The mate must be FIX (the parts are welded ?) or there are some degree of freedom ?

If the parts are welded, (the mate must be fix), create two perpendicular planes (from INSERT -> REFERNCE GEOMETRY) for both parts (or use the SW default planes - that depend from how you define the parts). (Create this planes in the part mode, not in the assembly mode) The planes must contain the centers of the cyrcles. Then, in assembly, mate this planes (COINCIDENT) to position the parts then mate the centers of the cyrcles (DISTANCE mates).
